OFFICIAL RULES AND REGULATIONS

NO PURCHASE OR PAYMENT NECESSARY. A PURCHASE WILL NOT IMPROVE CHANCES OF WINNING. VOID WHERE PROHIBITED.

SWEEPSTAKES PERIOD: The Return of MIKE AND IKE® Movie Mania Sweepstakes ("Sweepstakes") is sponsored by Just Born, Inc. (the "Sponsor") and begins at 12:01 a.m., Eastern Time (“ET”), May 15, 2013 and ends at 11:59 p.m., ET, August 15, 2013 (“Sweepstakes Period”). Sponsor will be the official timekeeper for the Sweepstakes.
ELIGIBILITY: Subject to the additional restrictions set forth below, the Sweepstakes is open only to legal residents of the 50 United States and the District of Columbia, who are 13 years of age or older at time of entry (each entrant referred to herein as an “Entrant” or “Participant”). Sponsor’s employees and employees of agencies involved with this Sweepstakes, and their immediate families or individuals living in the same households of such employees are ineligible to enter or win. For purposes of this Sweepstakes, “immediate families” are defined as parents, step-parents, children, step-children, siblings, step-siblings, grandparents and spouses, regardless of where they reside.

Participants’ agree to be bound by these official rules and regulations of the Sweepstakes (the “Official Rules”) and by the decisions of the Sponsor and any Sweepstakes judges or administrators selected by Sponsor, which are final and binding in all respects.
HOW TO ENTER: To enter the Sweepstakes, visit www.mikeandike.com, click on the Sweepstakes link and follow the instructions to register by filling out your name, age, address, telephone number, email address and, where applicable, a Universal Product Code ("UPC Code"). By participating in the Sweepstakes, you agree to be bound by Sponsor’s Privacy Policy, which can be found at www.justborn.com/privacy-policy. A Participant’s first entry does not require a UPC code. Any subsequent daily entries require a Participant to enter the regular UPC code printed on a MIKE AND IKE® brand candy pack weighing 0.78 oz or more. UPC Codes are available on the outside of all packages of participating MIKE AND IKE® products. Alternatively, to obtain a UPC Code, without a purchase of a MIKE AND IKE® brand candy pack, send a self-addressed stamped envelope to: The Return of MIKE AND IKE® Movie Mania Sweepstakes UPC Code Request, Elevator Group LLC, 146 Front Street, Suite 206, Scituate, MA 02066. All mail-in requests for UPC Codes must be postmarked by 8/4/13 and received by 8/11/13. You may also obtain a UPC Code, without a purchase via email, from 5/15/13 to 8/14/13, by sending an email to: katie@elevatorgrp.com. IMPORTANT: The subject line must state “UPC Code Request”. You will receive a UPC Code via email within 24 hours. Only one (1) UPC Code per mail-in and email requests. All Sweepstakes entries must be received by 11:59 p.m. ET on 8/15/13.
ENTRY LIMIT: Except for additional bonus entries permitted under these Official Rules, there is a limit of one (1) entry per day per Participant and per email address throughout the Sweepstakes Period. Only one (1) email address may be used by a Participant to enter the Sweepstakes. The use of multiple identities and/or accounts is prohibited, and any attempt to obtain more than the stated number of entries will void that Participant’s entries and may result in the Participant’s disqualification. Incomplete, forged, altered, automated, mechanically-reproduced, lost, late, postage-due, misdirected, garbled or illegible entries will be disqualified. Sponsor will not be responsible for failure to receive entries due to transmission failures or technical failures of any kind, including, without limitation, malfunctioning of any network, hardware or software, whether originating with sender, Sponsor, or Sponsor’s Sweepstakes application service provider. In the event of a dispute in connection with the identity of the individual who submitted an online entry, the entry will be deemed to have been submitted by the authorized account holder of the email account identified on the online entry form, provided that such person satisfies all other Sweepstakes eligibility requirements. The authorized account holder is deemed to be the natural person who is assigned to an email address by an Internet access provider, service provider, or other online organization that is responsible for assigning email addresses for the domain associated with the submitted email address. Any questions regarding the number of entries submitted or the identity of the individual who submitted an online entry shall be determined by Sponsor in its sole discretion, and Sponsor reserves the right to disqualify any entries by persons who submit false or misleading entry information or who Sponsor determines to be tampering with or abusing any aspect of the Sweepstakes. All entries become property of Sponsor and none will be returned. For the purposes of this Sweepstakes, a day is understood to begin at 12:00 a.m. ET and end 24 hours later at 11:59 p.m. ET. Use of any automated or robotic system to enter is prohibited and will automatically result in disqualification. Limit two (2) Instant Win prizes per Participant per household for the entire Sweepstakes Period. Any attempt to circumvent the random drawing nature of the Sweepstakes or otherwise any violation of or non-compliance with these Official Rules may result in disqualification.
BONUS ENTRIES:

Refer-a-Friend: You may receive additional entries for the Grand Prize drawing only by referring a friend to the Sweepstakes. When a registered Participant chooses to send the “Refer-a-Friend” notice to one (1) unique friend (who meets the Sweepstakes eligibility requirements), the registered Participant will receive one (1) bonus entry for the Grand Prize drawing only (the “Refer-a-Friend Entry”) when the referred friend registers to participate in the Sweepstakes. Maximum of twenty five (25) Refer-a-Friend Entries may be earned per Participant for the entire Sweepstakes Period. Each friend referred by a Participant will receive an email from the Sponsor containing a link to the online registration page for the Sweepstakes. This email will identify the Participant as having recommended that the email be sent. The friend must click on the link provided to go to the Sweepstakes online registration page and register in order for the Participant to receive (1) bonus entry. A Participant may only invite persons from whom he/she has received permission to provide their email address to the Sponsor (or, where the referred friend is under the age of majority in their state of residence, permission from his/her parent or legal guardian), and by whom an email from the Participant or the Sponsor would not be considered spam. False or fictitious and invalid email addresses may be grounds for disqualification from the Sweepstakes.

Tweeting about the Sweepstakes: Each Participant may earn one (1) bonus entry per day for the Grand Prize drawing only by clicking on the Twitter image located on the Bonus Entries page displayed after completing your online registration form and following the instructions. To send a tweet, Participants must have their own Twitter account. There is no fee for Participants to obtain a Twitter account. Each Participant may earn a maximum of one (1) bonus entry per day by tweeting about the Sweepstakes. By following the instructions, you will be sharing information about the Sweepstakes on your Twitter account.

Sharing the Sweepstakes through Facebook: Each Participant may earn one (1) bonus entry per day for the Grand Prize drawing only by clicking on the Facebook icon to post a message about the Sweepstakes on his/her Facebook Wall. The Participant must first LIKE the Sponsor’s Facebook page before bonus entries may be earned. To like Sponsor on Facebook, Participants must have their own Facebook account. There is no fee for Participants to obtain a Facebook account.

This Sweepstakes is in no way sponsored, endorsed or administered by, or associated with, Facebook or Twitter. You are providing your information to the Sponsor and not to Facebook or Twitter. Any questions, comments or complaints regarding the Sweepstakes must be directed to the Sponsor or its administrator, and not to Facebook or Twitter. Sponsor reserves the right in its sole discretion to determine whether or not bonus entries shall be awarded.

PRIZING AND ODDS:

SWEEPSTAKES GRAND PRIZE: There will be one (1) Sweepstakes Grand Prize awarded consisting of a Home Entertainment System that includes a large screen LED Smart HDTV (approximately 50” in size) plus a Blu-ray Home Theater System with an approximate value of $1,800. Odds of winning the Grand Prize will depend on the total number of eligible entries received.

The approximate retail value of electronic prizes is subject to price fluctuation in the consumer marketplace based on, among other things, any gap in time between the date the ARV is estimated for purposes of these Official Rules and the date the prize is awarded or redeemed. Grand Prize Winner will not receive the difference between the actual retail value at the beginning of the Sweepstakes and the actual retail value at the time of prize delivery.

INSTANT WIN PRIZES: There will be approximately 150 Instant Win Prizes awarded randomly throughout the entire Sweepstakes Period from among those currently entering the Sweepstakes. The timing and number of Instant Win Prize Winners will be chosen in Sponsor’s sole discretion. The prizes available to be won are outlined below:

TOTAL VALUE: The total estimated retail value of the Grand Prize plus Instant Win prizes is approximately $7,197.00.

For clarification, Instant Win Prize Winners remain eligible for the Grand Prize drawing.

A winner may waive the right to receive a prize. Any costs or expenses incurred by the winners in claiming or using their prizes, including all federal, state, and local taxes (if any) on prize value, and/or Internet service, will be the responsibility of the winners. Winner is solely responsible for reporting and payment of any taxes on a prize and, as applicable, will be issued an IRS Form 1099 based on the prize value determined by Sponsor. Winner may be required to provide his/her valid Social Security Number to Sponsor for tax purposes and/or complete an IRS W-9 form in order to claim a prize. All prizes must be accepted as awarded and are not transferable or assignable or convertible to cash. No substitution for any prize or any element thereof will occur except in the Sponsor’s sole discretion. Sponsor reserves the right, at its sole discretion, to substitute a prize (or portion thereof) with one of comparable or greater value. Sponsor is not responsible for, and will not replace, lost, mutilated, or stolen tickets, vouchers, or certificates. Prizes won and not claimed by eligible winners in accordance with these Official Rules will not be awarded and will remain the property of Sponsor.

Prizes won by minors will be awarded to the winner’s parent or legal guardian, who must sign any affidavit or release required by Sponsor. A legal guardian must provide written proof of guardianship.

INSTANT WIN PRIZE ALLOCATION: Each Instant Win Prize will be randomly selected throughout the entire Sweepstakes Period. Any Participant who submits a valid entry prior to the random instant win drawing is eligible to win an Instant Win Prize (winners of an Instant Win Prize hereafter known as an “Instant Winner”). If you are an Instant Winner of an Instant Win Prize, you will see a message on-screen after submitting your Sweepstakes entry informing you that you have won that Instant Win Prize. There will be approximately 150 Instant Win Prizes awarded throughout the Sweepstakes Period. All Instant Win Prizes available to be won are outlined in the table above. The MIKE AND IKE® Candy Prize Pack will be delivered to the confirmed Instant Winner by mail at the address supplied on the Sweepstakes entry form upon receipt of signed affidavit. Allow up to 6-8 weeks for verification of eligibility and shipment/arrangement of the prize after confirmation. The Netflix and Fandango® Instant Win Prizes will be redeemable online, and will require compliance with the online terms and conditions of such prize suppliers. A web link, along with a redemption code will be provided to the Instant Winner.

Fandango Prize will be awarded in the form of a promotional code is good for 2 tickets, up to $12 in value per ticket ($24 total value). Code expires on 8/15/2014 and is good for one-time use only. Both tickets must be purchased together in the same transaction for the same movie and show time. Code is only valid for purchases made at www.fandango.com or via a Fandango app for Fandango partner theaters in the U.S. Code has no cash value, may not be combined with any other offers or promotions, will not be replaced if lost or stolen, and is not for resale. If movie tickets with Fandango's convenience fee included is more than maximum value of the Fandango Code, customer must pay the difference with preferred method of payment. Any price difference between movie tickets purchased and maximum value of the Code will not be refunded.

Instant Winners will also be subject to all terms and conditions of Fandango promotional code vouchers at www.fandango.com/termsofuse.aspx and www.fandango.com/PurchasePolicy.aspx and Netflix Gift Subscriptions at http://www.netflix.com/Gift.
GRAND PRIZE DRAWING: On or about 2:00 PM ET on August 30, 2013, one Participant will be selected as the potential Grand Prize winner in a random drawing from among all eligible entries received during the Sweepstakes Period. In order to be declared the Grand Prize winner by the Sweepstakes judges, a potential winner (or in the case of a minor, his/her parent or legal guardian) must be in compliance with these Official Rules. Grand Prize winner will be notified on or about [September 6, 2013] by mail and telephone and will be required to sign (or in the case of a minor, his/her parent or legal guardian) and return a declaration of eligibility and a liability/publicity release within ten (10) business days of notification. Sponsor’s inability to reach a potential winner by mail or telephone after a reasonable (as solely determined by Sponsor) effort has been made, the failure of a potential winner to return the Sweepstakes documents within the specified time or to timely respond to a prize notification, the return of any prize notification as undeliverable, and/or a potential winner’s failure to otherwise comply with these Official Rules may, in Sponsor’s sole discretion, result in the potential winner’s disqualification, the forfeiture of all interest in the prize and selection of an alternate winner in a random drawing from among the remaining eligible entries. Sweepstakes drawings are final and without appeal in all matters related to the Sweepstakes and the awarding of the Grand Prize. The Grand Prize will be delivered to the Grand Prize Winner six to eight weeks from the date of the Grand Prize drawing.

A PARTICIPANT IS NOT A WINNER OF ANY PRIZE UNLESS AND UNTIL SPONSOR HAS COMPLETED ITS VERIFICATION OF PARTICIPANT’S ELIGIBILITY.
GENERAL: By entering or participating in this Sweepstakes, entrants expressly agree and consent to use of Participant’s name(s) and other biographical information (in whole or in part) and likeness in any media, including, but not limited to, the Internet, for any and all purposes, including, but not limited to, advertising, trade and/or promotion on behalf of the Sponsor, without further limitation, restriction, review or approval, or compensation, unless prohibited by law. Submission of an entry constitutes permission for the Sponsor to publish all aspects of the entry, in any and all media worldwide without limitation or additional compensation to entrant and to use the submitted information, including for purposes of marketing and promotion, subject to Sponsor’s privacy policies and to the extent permitted by law. This Sweepstakes is in no way sponsored, endorsed or administered by, or associated with, Netflix, Fandango®, Facebook or Twitter, and you understand that you are providing your information to Sponsor and not to, Facebook or Twitter. Information collected in connection with your entry is subject to Sponsor’s privacy policy at www.justborn.com/privacy-policy. Participants voluntarily transfer to the Sponsor all right, title, and interest, including copyright, to the entry. Participants agree to transfer the copyright to the submission to the Sponsor and to execute such documents necessary to effectuate such a transfer.

All federal, state and local taxes are the sole responsibility of the Winners. Sponsor is not liable for award of any prize to entrant who has violated these Official Rules, or committed fraud or deception in entering or participating in the Sweepstakes or claiming the prize. The Sweepstakes is subject to all federal, state and local laws and is void wherever prohibited by law.

In the event the Sweepstakes is compromised by a virus, non-authorized human intervention, tampering or other causes beyond the reasonable control of Sponsor which corrupt or impair the administration, security, fairness or proper operation of the Sweepstakes, Sponsor reserves the right, in its sole discretion, to suspend, modify or terminate the Sweepstakes. Should the Sweepstakes be terminated prior to the stated expiration date, Sponsor reserves the right to award prizes based on the entries received before the termination date. Proof of sending or submission of an entry will not be deemed proof of receipt by Sponsor.

By participating, each Participant agrees to fully release, forever discharge and hold harmless the Sponsor, Elevator Group, LLC, Fandango LLC, Netflix, Facebook, Twitter and each of their respective subsidiaries, affiliates, partners, representatives, agents, successors, assigns, employees, officers and directors (collectively, the “Released Parties”), from and against any and all liability, for loss, harm, damage, injury, cost or expense whatsoever, including, without limitation, property damage, personal injury (including, but not limited to, emotional distress) and/or death which may occur in connection with preparation for, or participation in, the Sweepstakes, or possession, acceptance and/or use or misuse of any prize or participation in any Sweepstakes-related activity and for any claims based on publicity rights, defamation or invasion of privacy and merchandise delivery.

By participating, each Participant acknowledges and agrees that everything regarding this Sweepstakes, including the website and the prizes, are provided “as is” and that Sponsor makes no representations or warranties of any kind, express or implied, about the prizes and Sponsor hereby disclaims all such warranties, including, but not limited to, any implied warranties of merchantability or fitness for a particular purpose. (Because some states do not allow the exclusion or limitation of certain implied warranties, the above limitation may not apply to you. In such states, the liability of the Released Parties is limited to the fullest extent permitted by such state law.)
ADDITIONAL TERMS: The Released Parties shall not have any obligation or responsibility with regard to: (i) entries that contain inaccurate information or do not comply with these Official Rules; (ii) entries, prize claims or notifications that are lost, late, incomplete, illegible, unintelligible, damaged or otherwise not received by the intended recipient, in whole or in part, due to computer, human or technical error of any kind; (iii) telephone, electronic, hardware, software, network, Internet or computer malfunctions, failures or difficulties; (iv) any inability of a winner to accept the prize for any reason; (v) the failure to award a prize due to any force majeure event beyond Sponsor’s control; or (vi) any damages or losses of any kind caused by any prize or resulting from awarding, acceptance, possession, use, misuse, loss or misdirection of any prize or resulting from participating in this Sweepstakes or any Sweepstakes or prize related activities. The Sponsor, in its sole discretion, reserves the right to disqualify any person tampering with the entry process or the operation of this Sweepstakes or otherwise violating these Official Rules.

Any attempt by any entrant to participate in this Sweepstakes, using multiple email addresses, identities, registrations and logins, or any other methods, such as the use of any robotic, repetitive, automatic, programmed or similar entry methods or agents will be considered a violation of these Official Rules and will void that participant's entries. The Sponsor further reserves the right to disqualify the entrant from this Sweepstakes and from any of the Sponsor’s future contests, sweepstakes or other promotions.

Any attempt to deliberately damage any website or electronic communication or to undermine the legitimate operation of this Sweepstakes is a violation of criminal and civil laws, and should such an attempt be made, the Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law. The Sponsor reserves the right to amend these Official Rules without prior notice or obligation, in the event of any accident, printing, administrative, or other error or any kind.

This Sweepstakes is subject to all applicable federal, state and municipal laws and regulations. By entering the Sweepstakes, Participants agree to be bound by these Official Rules, which shall be final and binding on all Participants without right of appeal, with respect to all matters relating to this Sweepstakes. By completing the entry form, all Participants consent to the use of their names and/or photographs for publicity purposes, without compensation, worldwide in perpetuity and in any form of media, including the Internet, and consent to the collection, use and distribution of their personal information by the Sponsor for the purposes of running the Sweepstakes. Sponsor will not sell or transmit this information to third parties except for the purposes of administering the Sweepstakes.

Only the number of prizes stated in these Official Rules is available to be won in the Sweepstakes. In the event that production, technical, seeding, programming, or any other reasons cause more than the stated number of prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to award the prizes by a random drawing among all legitimate eligible prize claims.

In the event of any discrepancy or inconsistency between the terms and conditions of these Official Rules and disclosures or other statements contained in any Sweepstakes-related materials, including, but not limited to, the Sweepstakes entry form, or point of sale, television, print or online advertising, the terms and conditions of these Official Rules shall prevail, govern and control. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any such provision is determined to be invalid or otherwise unenforceable, these Official Rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein.

Sponsor will not be responsible for typographical, printing or other inadvertent errors in these Official Rules or in other materials or announcements relating to the Sweepstakes.
