VIDEO CONTEST OFFICIAL RULES
NO PURCHASE NECESSARY

1.  ELIGIBILITY: This contest is open to legal U.S. residents, 18 years or older (or 19 and older for residents of AL and NE).  The Contest will run from March 1, 2011 at 12:01:00 AM (EST) through June 30, 2011 at 11:59:59 PM (EDT) (“Promotion Period”) for submissions and online voting.  Winners will be announced on or about July 15, 2011.
  

2. HOW TO ENTER: Entrants are invited to submit their best adventure video that includes any PEANUT CHEWS® Brand product to Just Born, Inc. (hereinafter referred to as “Sponsor”) with a minimum running time of thirty (30) seconds, and a maximum running time of three (3) minutes.  Only videos including a PEANUT CHEWS® Brand product will be accepted.  Submissions that are lewd, obscene, pornographic, disparaging, or otherwise in poor taste or inappropriate will be disqualified at the Sponsor’s sole discretion and will not be posted.  By submitting a video, you represent that you are the owner of the copyright therein and have all necessary permissions and rights as described in these Rules.

To enter, go to www.peanutchews.com (“Web Site”) for complete online registration process details (including additional video size/resolution requirements) and information on uploading your video to the website (“Video Submission”). All Video Submissions must be received by June 16, 2011 at 11:59:59 PM (EDT). For the purpose of this Contest, a Video Submission is a YouTube video file submission that follows the technical, creative and legal requirements disclosed in Rule #3 and elsewhere in these Official Rules. Follow instructions to upload Video Submission from your YouTube member account. There is no fee for Entrants to obtain a YouTube account. By submitting, you agree to the posting of the Video Submission for judging.  Video Submissions become the property of the Sponsor to be used at its sole discretion in perpetuity.  Sponsor is not responsible for any fraudulent Video Submissions. 

3. VIDEO SUBMISSION REQUIREMENTS:  Video Submissions must comply with the YouTube Site’s “YouTube Terms of Service” set forth at http://www.youtube.com/t/terms  and must not:

   1. include trademarks, logos, or copyrighted material not owned by entrant or used without permission (such as company
       names, music, photographs, works of art, or images published on or in websites, television, movies, or other media); with
       the exception of PEANUT CHEWS® Brand products;
   2. use individuals’ names, in whole or in part (including the entrant’s last name) without permission; 
   3. refer to public figures;
   4. contain profanity, pornographic, or sexual content, content promoting alcohol, illegal drugs, tobacco, firearms, or weapons,
       hateful content of any kind (including racism, sexism, etc.), content that promotes violence or harm to another 
       living creature, or any other offensive, obscene, or inappropriate content; 
   5. defame, misrepresent, or contain disparaging remarks about other people or companies, including, but not limited to
       Sponsor;
   6. promote a political agenda regardless of the political affiliation;
   7. contain materials embodying the names, likenesses, photographs, or other identifying elements of any person, living, or 
       dead without permission.

 

Sponsor and/or their designated representatives, will review all Video Submissions received during the Promotion Period and will only post those Video Submissions on the Web Site located at www.peanutchews.com that conform to these Official Rules and the YouTube Terms of Service (collectively, the “Official Rules”), as determined by the Sponsor in its sole discretion (“Eligible Video Submissions”). Entries that do not comply with these Official Rules, as determined in Sponsor in its sole discretion, will be disqualified from the Contest and may not appear on the Web Site. Decisions of the Sponsor and/or their designated representatives are final and binding.   
 

4. CONTEST ENTRY TERMS: Void where prohibited. By entering, and as part of the Official Rules, entrants agree to comply with YouTube’s Terms of Service; YouTube’s Privacy Policy found at www.youtube.com/t/privacy, as well as Sponsor’s Privacy Policy found at www.justborn.com/privacy-policy. By entering, entrants warrant and represent that his or her idea and Video Submission and all elements thereof satisfy YouTube’s Terms of Service, including, without limitation, warranting that the initial and any subsequent Video Submissions:

   1. are the original work of the entrant;
   2. have not previously been published or won an award or prize of any kind;
   3. do not infringe or violate the rights of any third party, including but not limited to, copyrights, trademarks, patents, trade
       secrets, logos, contract and licensing rights, rights of publicity or privacy, moral rights, or any other intellectual property
       rights; 
   4. are not subject to any third party agreements, and that the Sponsors will not be required to pay or incur any sums to any
       person or entity as a result of their use, exhibition or exploitation of the idea or video or elements therein;
   5. any required permits from local authorities and other permissions have been obtained;
   6. do not contain any content that is likely to be considered offensive by Sponsor or could adversely affect the name,   
       reputation, or goodwill of the Sponsor.

Video Submissions may only be submitted by a single Registered YouTube User. Group entries will not be accepted (e.g., although different individuals might have taken part in the making of a Video Submission, and more than one individual may appear in the Video Submission, only one individual may be considered to have produced and submitted the Video Submission). Persons 17 years of age or younger (18 years of age or younger in Alabama and Nebraska) may not submit Video Submissions. By entering the Promotion, each entrant represents and warrants that he or she has obtained all of the rights, licenses, and permissions in writing from each person (or from parent/legal guardian if person(s) in Video Submission are considered minors in their state of residence) who appeared in or helped to create the Video Submission. If Sponsor determines in its sole discretion that an entrant has breached a representation or warranty, the entry will be disqualified.

 
5.  PRIZE JUDGING: All entries will be initially screened by representatives of the Sponsor to assure, at its sole discretion, that there is no inappropriate content.  All appropriate Video Submissions will be posted at www.peanutchews.com on an as-received basis commencing at 12:01:00 am EST on June 17, 2011 and ending at 11:59:59; pm EDT on June 30, 2011 (“Public Voting Period”.  Members of the general public will be given the opportunity to vote for their favorite Eligible Video Submission during the Public Voting Period. Limit one vote per person per day. The five (5) Eligible Video Submission with the highest number of votes at the end of the Promotion Period at 11:59:59 pm EDT on June 30, 2011 will be posted online on or about July 1, 2011 and will be judged by a panel of judges and winners will be assigned based on the following criteria (weighted equally): level of adventure, originality, and use of PEANUT CHEWS® product. Decisions of judges will be announced on or about July 15, 2011, and decisions of judges are final. The Eligible Video Submission with the highest overall score from the judges will be deemed the Grand Prize Winner. The Eligible Video Submission with the second highest overall score will be deemed the First Prize Winner, and so on, through the Fourth Prize. In the event of a tie, the Eligible Video Submission with the highest score in the originality judging criteria will be deemed the winner among all tying submissions.

6. PRIZES AND APPROXIMATE RETAIL VALUES: One Grand Prize Winner will receive a Sony® High Definition 2.1 MP Camcorder with 2.7” Widescreen LCD (ARV $499.00).  Two First Prize Winners will receive a Peanut Chews® Prize Pack (ARV $50.00 each).  The total ARV of all prizes is $599.00.  All Video Submissions and associated copyrights will become the property of Sponsor upon submission.  Sponsor will have full rights to use all Video Submissions, or portions thereof, submitted in perpetuity.  Limit one prize per household or family.

7.  CONDITIONS OF PARTICIPATION:  Employees of Just Born, Inc., YouTube, and their respective parents, affiliates, subsidiaries, advertising and promotion agencies (together "Indemnities") and their immediate family members and/or those living in same household of each are not eligible.  No substitution or transfer of prize permitted by winner.  Sponsor reserves the right to substitute prizes of equal or greater value in the event that the prize offered is not available. Any federal, state and local taxes that may be required are the sole responsibility of winner.   All federal, state, and local laws and regulations apply.  Void in Puerto Rico and where prohibited by law. All winners must sign and return an Affidavit of Eligibility and Liability/Publicity Release, within 7 days of first attempted notification.  Noncompliance within this time period will result in disqualification and an alternate will be selected.  By entering the Contest, the entrant represents and warrants that he/she owns or controls all rights, including copyrights, necessary for the posting of their Video Submission on website and gives the Sponsor the right to use, edit, or publish their Video Submission without compensation.  You warrant your entry is your sole work and that you have acquired all rights necessary (including without limitation any permissions for individuals featured in Video Submissions) and will produce these documents upon request to allow the Sponsor to use your Video Submission as described in these Rules.  You also warrant and represent that your Video Submission has not been previously published nor has it won previous awards and that you have obtained the written consent of any identifiable persons in the Video Submission Content to use their likenesses in connection with this Contest and you have obtained permission from any third party intellectual property rights holders and you will provide such permissions and accompanying documentation at Sponsor's request.  Also without further compensation, winners assign all rights, title and interest in their Video Submission to the Sponsor and, if required, will sign any documents necessary to transfer copyright.  By entering Contest and/or accepting prize, entrant grants permission to Sponsor and/or their designated representatives to use winner’s names and/or likenesses and/or Video Submission for purposes of advertising/trade, without further compensation to the entrant unless prohibited by law.  Entrant, by participating in this Contest, hereby waives and releases, and agrees to hold harmless the Sponsor, affiliates, distributors, licensors, advertising and promotion agencies and all of their respective officers, directors, employees and representatives and agents, from and against, any and all rights, claims and causes of action whatsoever that they may have, or which may arise, against any of them for any liability for any matter, cause or thing whatsoever, including but not limited to any injury, loss, damage, whether direct, compensatory, incidental or consequential, to person, including death, and /or property, arising in whole or in part, directly or indirectly, from their acceptance, possession, use or misuse of any prize, or their participation in this Contest, or any prize-related activity.  Entrants agree to be bound by the Official Rules and the decisions of the Sponsor.  Sponsor is not responsible for any typographical or other error in the printing of the offer, administration of the contest or in the announcement of the prizes.  By participating in this Contest, entrants agree to be bound by the Official Rules and the decisions of the judges whose decisions are final. Sponsor and/or their designated representatives is not responsible for lost, late, mutilated or illegible Video Submissions nor for electronic transmission errors resulting in omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations or distortions of photos or entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions or limitations of any kind, or inaccurate transmissions of or failure to receive entry information by Sponsor on account of technical problems or traffic congestion on the Internet or at any website or any combination thereof. If for any reason the Internet portion of the program is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this contest the Sponsor, in its sole discretion, reserves the right, but not the obligation to suspend modify or terminate the Contest.  The Sponsor reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Contest. Caution: Any attempt by an entrant to deliberately damage any website or undermine the legitimate operation of the Contest is a violation of criminal and civil laws and should such an attempt be made, Sponsor reserves the right to seek damages from any such contestant to the fullest extent of the law.
